Huma Partner Portal (Beta)

Terms of Service

These Beta Terms of Service (“Terms”) govern the access to and use of the Huma Partner Portal (“Portal”) provided by Huma AS (“Huma”, “we”). By accessing or using the Portal, the partner organization (“Partner”, “you”) agrees to be bound by these Terms.

The Portal is a collaboration platform for Huma and its authorized reseller partners. It contains no customer HR functionality and is not intended for storing personal data of customers or employees.

1. Beta Service

1.1 Experimental nature.

 The Portal is made available as a beta service for testing, evaluation, and feedback. It may contain errors, incomplete features, and functional limitations.

1.2 No service levels.

The Portal is provided “as is”, without warranties, and without any commitment to uptime, response time, availability, or performance.

1.3 Changes.

 Huma may modify, suspend, or discontinue the Portal at any time, without notice or liability.

2. Eligibility & Access

2.1 Authorized users only.

 Access is limited to Partner representatives who require the Portal as part of their reseller relationship with Huma. Partner is responsible for ensuring only appropriate, authorized individuals access the Portal.

2.2 Account security.

 Partner must:

  • keep login credentials confidential,
  • prevent unauthorized use,
  • revoke access for users who leave the organization or no longer require access,
  • notify Huma of any suspected compromise.

2.3 No shared accounts.

 Each user must have an individual account unless otherwise approved in writing.

3. Purpose & Acceptable Use

3.1 Intended use.

 The Portal may be used exclusively for:

  • accessing Huma-provided partner documentation and enablement materials,
  • collaborating on sales activities, deal support, and training,
  • submitting feedback or insights related to Huma’s products,
  • communication and coordination with the Huma partner team.

3.2 Prohibited use.

 Partner must not:

  • upload any Personal Data or Sensitive Personal Information, as defined under GDPR or other applicable law,
  • upload customer HR data or any data belonging to end users,
  • upload or transmit malicious content, malware, or harmful files,
  • attempt to bypass, disable, or interfere with Portal security,
  • reverse engineer, decompile, or copy Portal components,
  • use the Portal for competing or unauthorized commercial purposes,
  • overload or interfere with the proper functioning of the Portal.

3.3 Reference to Huma’s Acceptable Use Policy.

 Partner’s use of the Portal must align with the principles in Huma’s Acceptable Use Policy, adapted for this beta context.

4. Data & Privacy

4.1 No Personal Data allowed.

 The Portal is not designed to process or store Personal Data or Sensitive Personal Information. Partner agrees not to upload any such data under any circumstance.

If Partner does upload personal data, Partner bears full responsibility for compliance with applicable data protection laws (including GDPR) and acknowledges that Huma has no obligation to process or store such data.

4.2 Data processed.

 During beta use, Huma may process:

  • account information for Partner Users (e.g., email, name),
  • collaboration content voluntarily uploaded by Partner (excluding personal data),
  • usage logs, telemetry, and technical data generated through Portal use.

4.3 Security.

 Huma will use reasonable administrative, technical, and organizational measures appropriate for a beta environment. However, Huma does not guarantee absolute security.

4.4 Data retention & deletion.

Huma may retain partner-uploaded data for the duration of the beta. Upon termination or beta conclusion, Huma may delete content.

Confidentiality

5.1 Confidential materials.

 All materials shared within the Portal (including pricing, documentation, product information, roadmaps, and deal support resources) are considered Huma Confidential Information, unless explicitly marked otherwise.

5.2 Partner confidentiality.

 Materials or documents uploaded by Partner are considered Partner Confidential Information unless marked otherwise.

5.3 Mutual obligations.

 Both parties agree to:

  • protect the other party’s Confidential Information,
  • use it only for collaboration under the reseller relationship,
  • not disclose it to unauthorized third parties.

6. Intellectual Property

6.1 Ownership.

 Huma retains all rights, title, and interest in the Portal, including software, documentation, interface designs, and underlying intellectual property.

6.2 License to use the Portal.

 During the beta period, Huma grants Partner a limited, non-exclusive, revocable right to access and use the Portal solely for partner-related collaboration.

6.3 Partner uploads.

 Partner retains ownership of all materials it uploads and grants Huma a non-exclusive, royalty-free license to use such materials only for operating and improving the Portal.

6.4 Feedback.

 Partner’s feedback or suggestions may be used by Huma without restriction or obligation.

7. Support During Beta

7.1 Informal support only.

 Support is provided on a best-effort basis. Huma does not guarantee response times or resolution times during the beta period.

7.2 Issue reporting.

 Partner agrees to report bugs, usability issues, or security concerns promptly, as this is a core purpose of the beta program.

8. Suspension & Termination

8.1 Suspension by Huma.

 Huma may suspend or terminate access:

  • for any violation of these Terms,
  • for misuse or suspected misuse,
  • for security or operational reasons,
  • at its discretion, given the experimental nature of the beta.

8.2 Termination by Partner.

Partner may terminate the agreement at any time by informing Huma in writing. Following termination, Partner loses all rights to access the portal.

8.3 Post-termination.

 Huma may delete partner content following termination or at the end of the beta. Partner is responsible for exporting any needed materials prior to termination.

9. Disclaimers & Limitation of Liability

9.1 Disclaimers.

 The Portal is provided “as is”, without warranties of any kind—express, implied, or statutory—including warranties of:

  • merchantability,
  • fitness for a particular purpose,
  • accuracy,
  • security,
  • uninterrupted availability.

9.2 Limitation of liability.

 To the maximum extent permitted by law:

  • Huma is not liable for indirect, incidental, or consequential damages.
  • Huma’s total aggregate liability related to the Portal is limited to zero Norwegian kroner (NOK 0), as the Portal is provided free during the beta program.

10. Governing Law & Dispute Resolution

These Terms are governed by Norwegian law. Any disputes arising from or related to these Terms shall be resolved by the courts of Norway, with Oslo District Court as the exclusive venue.

11. Changes to the Terms

Huma may update these Terms at any time and will inform Partner in writing of such updates. Continued use of the Portal after updates constitutes acceptance of the updated Terms.
